Strategic Trust Club Membership Terms and Conditions:
By applying for and participating in the Strategic Trust Club (the “Club”), you (the “Member”) agree to be bound by the following terms and conditions (the “Terms”). These Terms govern your membership and participation in the Club and its associated benefits, activities, and communications.
1. Membership and Access
1.1 Invite-Only Membership: Membership in the Club is strictly by invitation and subject to approval by the Club’s core team (the “Core Team”). The Core Team reserves the right to accept or reject any application at its sole discretion without providing a reason.
1.2 Revocation of Access: The Club reserves the right to suspend, terminate, or revoke a Member’s access at any time, with or without cause, including but not limited to violations of these Terms, at the sole discretion of the Core Team. Upon revocation, all membership benefits and access rights shall immediately cease.
1.3 Non-Transferability: Membership is personal to the approved Member and may not be assigned, transferred, or delegated to any other individual or entity under any circumstances.
2. Membership NFT
2.1 NFT as Access Token: Membership in the Club is represented by a non-fungible token (“Membership NFT”) linked to the Member’s Hedera Hashgraph (HBAR) wallet. The Membership NFT grants access to Club benefits and activities as determined by the Core Team.
2.2 Restrictions on NFT: The Membership NFT is non-transferable and may not be sold, traded, listed on any public or private marketplace, or otherwise transferred to another party. Any attempt to transfer the Membership NFT will result in immediate revocation of membership and forfeiture of all associated benefits.
2.3 Ownership and Security: Members are solely responsible for securing their HBAR wallet and Membership NFT. The Club is not liable for any loss, theft, or unauthorized access to a Member’s wallet or NFT.
3. No Investment Advice
3.1 Informational Purpose Only: The Club is not a financial advisory service, and no content, opportunities, or communications provided by the Club, its Core Team, or its affiliates constitute financial, investment, legal, tax, or other professional advice.
3.2 Member Responsibility: Members are solely responsible for conducting their own due diligence and making independent decisions regarding any opportunities or information shared within the Club. The Club does not endorse or verify the accuracy of any third-party information shared within its community.
4. Confidentiality
4.1 Confidential Information: All content, deal flow, discussions, communications, and materials shared within the Club (collectively, “Confidential Information”) are strictly confidential. Members agree not to disclose, share, or reproduce Confidential Information outside the Club without prior written consent from the Core Team.
4.2 Scope of Confidentiality: Confidential Information includes, but is not limited to, business opportunities, member identities, proprietary data, and any private communications or materials provided through Club channels or events.
4.3 Consequences of Breach: Any unauthorized disclosure of Confidential Information may result in immediate termination of membership, legal action, and liability for any damages incurred by the Club or its members.
5. No Guarantees of Returns
5.1 No Assured Outcomes: While the Club may facilitate access to opportunities that could generate returns, the Club makes no representations, warranties, or guarantees regarding financial or other outcomes from participation in the Club or its activities.
5.2 Risk Acknowledgment: Members acknowledge that participation in any opportunities presented through the Club involves inherent risks, and the Club is not responsible for any losses or damages resulting from such participation.
6. Code of Conduct
6.1 Expected Behavior: Members must act with integrity, professionalism, and mutual respect in all interactions within the Club, including but not limited to communications with other members, the Core Team, and affiliates.
6.2 Prohibited Conduct: Members shall not engage in behavior that is unlawful, discriminatory, harassing, defamatory, or otherwise detrimental to the Club’s reputation or community. Prohibited conduct includes, but is not limited to, sharing misleading information, soliciting members for unauthorized purposes, or violating these Terms.
6.3 Enforcement: Violations of the Code of Conduct may result in warnings, suspension, or termination of membership at the Core Team’s discretion.
7. Liability Disclaimer
7.1 No Liability: The Club, its Core Team, affiliates, and representatives shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from or related to a Member’s participation in the Club, reliance on Club content, or actions taken based on Club activities or opportunities.
7.2 Indemnification: Members agree to indemnify, defend, and hold harmless the Club, its Core Team, affiliates, and representatives from any claims, losses, or damages arising from the Member’s actions, decisions, or violations of these Terms.
8. Termination of Membership
8.1 Termination by Club: The Club may terminate a Member’s membership at any time, with or without cause, at the Core Team’s sole discretion.
8.2 Termination by Member: Members may terminate their membership by providing written notice to the Core Team. Upon termination, all access rights and benefits, including the Membership NFT, shall immediately cease.
8.3 Effect of Termination: Upon termination, Members must immediately cease using any Club-related materials, benefits, or Confidential Information and comply with any additional instructions provided by the Core Team.
9. Governing Law and Dispute Resolution
9.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Seychelles, without regard to its conflict of law principles.
9.2 Dispute Resolution: Any disputes arising from or related to these Terms or membership in the Club shall be resolved through binding arbitration in Seychelles, conducted in accordance with the rules of the Seychelles International Arbitration Centre (SIAC). The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.
10. Miscellaneous
10.1 Amendments: The Club reserves the right to modify these Terms at any time. Members will be notified of changes via their registered contact information, and continued participation in the Club constitutes acceptance of the revised Terms.
10.2 Entire Agreement: These Terms constitute the entire agreement between the Member and the Club regarding membership and supersede all prior agreements or understandings, whether written or oral.
10.3 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
10.4 Assignment: The Club may assign its rights and obligations under these Terms to any affiliate or successor entity without Member consent.

By applying for membership, checking the acceptance box, or participating in the Club, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.
